This document may contain information that is proprietary and confidential to OKC Black Eats
and/or a trade secret. OKC Black Eats has provided this information solely for the purposes
stated herein.

By continuing past this notice, you agree to keep the information confidential and to limit
disclosure of the information to only those individuals within your organization who need to
know the information. In addition, you agree not to: (i) disclose the information contained in this
document to any third parties; (ii) use the information for any purpose other than to evaluate the
suitability of a business relationship with OKC Black Eats; and (iii) use the information in any
other way that might be detrimental to OKC Black Eats.

TALENT RELEASE FORM / AUTHORIZATION AND RELEASE
I give and grant to OKC Black Eats, LLC (hereinafter known as OKC Black Eats) and its affiliates,
their successors, and any person acting under its permission and authority, the unqualified right,
privilege, and permission to reproduce in the manner and formats listed below, publish and
circulate videotapes, films, photographs, and transparencies of said property and recordings
related to the video produced for OKC Black Eats.  I hereby grant, assign, and transfer to OKC
Black Eats all my rights and interests.

I agree that my participation may be edited with the discretion of OKC Black Eats.  I expressly
release OKC Black Eats, your agents, employees, licensees, and assignees from and against any
and all claims which I have or may have for invasion of privacy, defamation, libel, slander, or any
other cause of action arising out of production, distribution, broadcast or exhibition.

REPRESENTATION AND WARRANTIES
The Vendor hereby represents that they have the expertise, knowledge, and experience needed
to provide the goods or services outlined in this vendor agreement.  The vendor agrees to
uphold all laws and legal requirements of the state of Oklahoma.

LIABILITY AND INDEMNIFICATION
The Vendor shall indemnify, defend, and hold the Client and its representatives harmless for any
loss or damage.
‍
Furthermore, the Client agrees to hold the Vendor harmless against any loss or damage, save in
cases of gross misconduct or negligence by the Vendor or its representatives.
‍
INSURANCE
The Vendor agrees to purchase the necessary insurance during the term of this agreement and upon request shall provide proof of such insurance to the Client, if requested. In the instance the
Vendor should fail to maintain or provide proof of insurance, the Client shall consider such
actions to be a breach of this vendor agreement and will be grounds for termination.

INDEPENDENT CONTRACTOR
The Vendor shall be considered an independent contractor. This vendor agreement does not
establish an employer/employee relationship between the Client and Vendor, and no such
agreement shall be established at any time.
‍
JURISDICTION
This vendor agreement shall be under the jurisdiction of the laws of Oklahoma. Therefore, any
and all legal proceedings shall be conducted in the above state.
‍
TERMINATION
Either party may terminate this vendor agreement by providing written notice to the opposite
party within 10 days of the termination requested date. Upon this vendor agreement’s
termination, all unpaid debts up to the point of termination will be due to the Vendor within 10
days.  All fees paid are non-refundable.

ENTIRE UNDERSTANDING
This vendor agreement and any attachments shall be considered the entire agreement and shall
constitute the termination of any prior agreements including any written or verbal agreements.

OKIE FOOD TRUCKS MEMBERSHIP
By applying for Foodie Fest 2023 through Okie Food Trucks, you will automatically be signed up for a free membership (if you're not already a member) where you will be listed in our food truck database and receive event leads via email. There is no charge to become a member and you can cancel your membership at any time. A representative from Okie Food Trucks will contact you via email with more information after submitting your application.

The Foodie Fest Rules and Standards have been created in order to assure fairness among all
participants involved. If a restaurant does not follow these rules, they will not be invited to
participate in future promotions.

The following are rules for participating in this promotion.
 
Foodie Fest is about creating a dining experience, and in doing so, it is imperative that our
participants adhere to the Foodie Fest promotion standards that reflect excellence in:

- Level of Service
- Diversity of Menu
- Quality of Ingredients
- Overall Experience

How do I register my food truck or trailer for Foodie Fest?
Food truck and trailer registrations are accepted via Okie Food Trucks only, at https://www.okiefoodtrucks.com/foodie-fest

What is the deadline to register?
The deadline to register is April 15, 2023.

Is there a fee to participate in Foodie Fest?
A $175.00 early bird, non-refundable fee is required for all food and retail vendors. Payments received after August 1, 2023 may be subjected to a late registration fee, $275.00.  Registration fees are due within 24 hours of acceptance.

Why is there a fee to participate in Foodie Fest?
The participant registration fee goes to Foodie Fest website improvements, maintenance, advertising, marketing, and promotion of the event to help make it as successful as possible. I have more than one restaurant.

Does each of my food trucks or trailers have to register separately to participate?
Yes. All participants receive identical benefits, so each participant must register individually.

Does my food truck or trailer have to participate for the entire length of Foodie Fest?
Yes. All participants are required to be onsite and operating during operating hours of Foodie Fest.

Do I have to send my menu/service offerings to Foodie Fest?
Yes. Participants should email this information to events@okcblackeats.com.

What inspections or permits are required?
All food trucks and trailers are required to have current and valid inspections approved by the Oklahoma State Health Department.

Will my business be listed on the Foodie Fest website?
Approved vendors will be listed on the Foodie Fest website.

Can I include the Foodie Fest logo on my website and in promotional pieces?
Yes. All participants will receive the Foodie Fest logo and customizable templates for your use in promoting your food truck or trailer during Foodie Fest. You may also email events@okcblackeats.com to request the logo.
